ICA Terms of Use

Agreement Between User and ICA (a registered DBA of IC AGILE, LLC)

This website (“Site”) is operated by IC AGILE, LLC, a limited liability company organized under the laws of the State of California, doing business as ICA (“ICA,” “we,” “us,” or “our”). For purposes of these Terms, “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with IC AGILE, LLC. References to “ICA,” “we,” “us,” or “our” include IC AGILE, LLC, doing business as ICA, its Affiliates, and its applicable brands, trade names, divisions, and business operations.

By accessing or using this Site, you agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, do not use the Site.

Modification of These Terms

ICA reserves the right to change the Terms under which the Site is offered, including but not limited to the charges associated with the use of the Site.

Links to Third Party Sites

The Site may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of ICA and ICA is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. ICA is not responsible for webcasting or any other form of transmission received from any Linked Site. ICA is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by ICA of the site or any association with its operators. Accessing third-party websites is at your own risk.

Use of the Site; Prohibited Conduct

As a condition of your use of this Site, you represent and warrant that: (1) you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms; and (2) you will not use the Site for any purpose that is unlawful or prohibited by these Terms, conditions, and notices.

You may not use the ICA Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site.

You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the ICA Sites.

You must not:

(i) interfere with or disrupt the Site or the software that runs the Site (the “Software”), other equipment or networks connected to the Software, or disobey any requirements, procedures, policies or regulations of networks connected to the Software made known to you;

(ii) circumvent the user authentication or security of the Software or any host, network, or account related thereto;

(iii) make any use of the Software that violates any applicable local, state, national, international or foreign law; or

(iv) except for licenses provided to you as permitted in this Agreement, allow any third party to use any user identification(s), code(s), password(s), and procedure(s) issued to, or selected by, you for access to the Software.

ICA is entitled to monitor and enforce your compliance with these Terms. ICA may utilize the information concerning your use of the Site and Software to improve ICA products and services and offerings.

Use of Communication Services

The ICA Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.

By way of example, and not as a limitation, you agree that when using a Communication Service, you will not:

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights, such as rights of privacy and publicity, of others.
Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information.
Upload files that contain software or other material protected by intellectual property laws, or by rights of privacy or publicity, unless you own or control the rights thereto or have received all necessary consents.
Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.
Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages.
Conduct or forward surveys, contests, pyramid schemes or chain letters.
Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
Restrict or inhibit any other user from using and enjoying the Communication Services.
Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
Violate any applicable laws or regulations.

ICA has no obligation to monitor the Communication Services. However, ICA reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion.

ICA reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

ICA reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in ICA's sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service.

ICA does not control or endorse the content, messages or information found in any Communication Service and, therefore, ICA specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service.

Managers and hosts are not authorized ICA spokespersons, and their views do not necessarily reflect those of ICA.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.

Privacy

Your privacy is important. Please read our Privacy Statement to learn about our privacy practices and how we use the information we collect.

Data Privacy

As stated in our Privacy Statement, we may transfer personal data to third party processor companies (i.e. cloud data and server services) that help us provide our service. Such third-party processors are located in, and the transfers are limited to, the United States or countries in the European Union and these processors are controlled by data processing agreements providing the same protections of your personal data. If ICA transfers the personal data of EU individuals, we adhere to the Standard Contractual Clauses approved by the European Commission. Your agreement to these terms includes your consent to such transfer of your personal data.

Intellectual Property

ICA and its licensors retain all ownership and intellectual property rights in the Software and content on the ICA Site (“Content”).

You may not:

Remove or modify any marks or proprietary notices of ICA.
Provide or make the Software or Content available to any third party.
Decompile, disassemble or reverse engineer the Software, except to the extent permitted by applicable law.
Create derivative works of or based on the Software or Content.
Use any ICA or product provider’s name, trademark or logo.

Materials Provided to ICA or Posted at Any ICA Web Site

ICA does not claim ownership of the materials you provide to ICA (including feedback and suggestions) or post, upload, input or submit to any ICA Site or its associated services (collectively "Submissions"). However, by posting, uploading, inputting, providing or submitting your Submission you are granting ICA, its affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.

No compensation will be paid with respect to the use of your Submission, as provided herein.

ICA is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in ICA's sole discretion.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

Liability Disclaimer

The information, software, products, and services included in or available through the ICA Site may include inaccuracies or typographical errors. Changes are periodically added to the information herein. ICA and/or its suppliers may make improvements and/or changes in the ICA Site at any time.

Advice received via the ICA Site should not be relied upon for personal, medical, legal or financial decisions and you should consult an appropriate professional for specific advice tailored to your situation.

ICA and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services and related graphics contained on the ICA Site for any purpose.

To the maximum extent permitted by applicable law, all such information, software, products, services and related graphics are provided "as is" without warranty or condition of any kind.

ICA and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title and non-infringement.

To the maximum extent permitted by applicable law, in no event shall ICA and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the ICA Site, with the delay or inability to use the ICA Site or related services, the provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through the ICA Site, or otherwise arising out of the use of the ICA Site, whether based on contract, tort, negligence, strict liability or otherwise, even if ICA or any of its suppliers has been advised of the possibility of damages.

Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

If you are dissatisfied with any portion of the ICA Site, or with any of these terms, your sole and exclusive remedy is to discontinue using the ICA Site.

Indemnification

You will indemnify, defend and hold harmless ICA, its members, shareholders, officers, directors, employees and other affiliates from and against any losses, claims, liabilities, expenses, damages and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms or misuse of the Site.

Termination/Access Restriction

ICA reserves the right, in its sole discretion, to terminate your access to the ICA Site and the related services or any portion thereof at any time, without notice.

Governing Law; General Terms

To the maximum extent permitted by law, these Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state and federal courts located in the Commonwealth of Virginia, and you hereby consent to the exclusive jurisdiction and venue of such courts.

Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including without limitation this paragraph.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and ICA as a result of these Terms or your use of the Site.

ICA’s performance of these Terms is subject to existing laws and legal process, and nothing contained in these Terms is in derogation of ICA’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by ICA with respect to such use.

If any provision of these Terms is determined to be invalid or unenforceable pursuant to applicable law, then such provision shall be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Terms shall continue in full force and effect.

Unless otherwise specified herein, these Terms constitute the entire agreement between you and ICA with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ICA with respect to the Site.

A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings to the same extent and subject to the same conditions as other business records originally generated and maintained in printed form.

It is the express wish of the parties that these Terms and all related documents be drawn up in English.

Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

The names of actual companies and products mentioned herein may be the trademarks of their respective owners. Any rights not expressly granted herein are reserved.

Notices and Procedure for Making Claims of Copyright Infringement

If you believe that any content available on the Site infringes your copyright or other intellectual property rights, please notify us at info@ica-certified.com with sufficient detail to allow us to investigate the matter. We reserve the right to remove or modify content alleged to be infringing in our sole discretion.
